1. Agreement to these Terms
These Terms of Use ("Terms") are a legally binding agreement between you and Center Health Incorporated ("Center Health", "we", "us", or "our") governing your access to and use of the center.health website and our related subdomains, content, and services (the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
We may modify these Terms from time to time. We will indicate changes by updating the "Last updated" date, and your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
2. About Center Health and the Services
Center Health provides a remote patient monitoring ("RPM") software platform that healthcare providers use to monitor and support their patients. Our public website provides information about our services and supports our relationships with healthcare-provider organizations. We do not sell products or subscriptions directly to consumers, and the Services are not a store.
Different parts of the Center Health platform are governed by additional terms:
- Healthcare-provider organizations access the platform under a Master Services Agreement and a Business Associate Agreement with Center Health; their use is governed by those agreements (see Section 4).
- Patients use the Center Health application and RPM service after being enrolled by their healthcare provider; their use is governed by the Patient App & RPM Service Terms and the "HIPAA & Your Health Information" notice (see Section 5).
3. Eligibility
The Services are intended for business and professional use and for individuals who are at least 18 years old, except where a patient is enrolled in monitoring through their healthcare provider with the involvement of a parent or guardian as required. You agree to provide accurate information and to use the Services only for lawful purposes and as permitted by these Terms.
4. Healthcare-provider customers
If you access the Center Health platform on behalf of a healthcare-provider organization, your organization's use of the platform is governed by the Master Services Agreement and Business Associate Agreement between Center Health and your organization. In the event of any conflict between those agreements and these Terms with respect to the platform, those agreements control. Provider portal access is also subject to the Provider Portal Terms.
5. Patients and the RPM service
If you are a patient, you access the Center Health application and RPM service because your healthcare provider has enrolled you. Your use is governed by the Patient App & RPM Service Terms, and the health information we process about you is handled as described in the "HIPAA & Your Health Information" notice. Center Health provides technology that supports monitoring by your healthcare provider. Center Health is not your healthcare provider and does not provide medical care.
6. Not medical advice; the Aria assistant
The Services, including content and any output of the Aria assistant, are provided for informational purposes to support remote patient monitoring under the direction of your healthcare provider. They are not a substitute for professional medical advice, diagnosis, or treatment, and they do not create a doctor-patient relationship with Center Health.
Aria is an AI assistant. The information it provides is informational only and is not a diagnosis, treatment recommendation, or a substitute for the clinical judgment of your healthcare provider. Always seek the advice of your physician or other qualified health provider with any questions about your health, and never disregard or delay seeking professional medical advice because of something provided through the Services. If you are experiencing a medical emergency, call 911 or your local emergency number immediately. You are responsible for decisions you make based on information provided through the Services, to the fullest extent permitted by law.
7. Acceptable use
You agree not to:
- use the Services for any unlawful, harmful, fraudulent, or unauthorized purpose, or in violation of any applicable law or regulation;
- access, or attempt to access, any account, data, or system area you are not authorized to access, or interfere with or circumvent security, authentication, logging, or access controls;
- disrupt or place an undue burden on the Services or connected networks, or introduce malware or other harmful code;
- use any automated means (such as scrapers, bots, or data-mining tools) to access or extract data from the Services, except standard search-engine indexing;
- copy, modify, reverse engineer, decompile, or create derivative works from the Services or their software, except as permitted by law;
- impersonate any person or misrepresent your affiliation; or
- harass, threaten, or harm our personnel or other users.
We may monitor for, and take appropriate action regarding, violations of these Terms, including restricting or terminating access.
8. Intellectual property and license
The Services and their content, software, design, trademarks, and logos are owned by or licensed to Center Health and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for their intended purpose. All rights not expressly granted are reserved. Any feedback you provide may be used by us without restriction or obligation to you.
9. Mobile applications and app stores
If you access the Services through a mobile application, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the application on devices you own or control, subject to these Terms and the applicable app store's terms. You agree to comply with the relevant app store rules, and you acknowledge that the app store provider is not responsible for the application or for providing support or warranties for it, except as required by law. The app store providers are third-party beneficiaries of this Section and may enforce it against you. Patient use of the Center Health application is further governed by the Patient App & RPM Service Terms.
10. Privacy
Our handling of non-health personal information is described in our Privacy Policy. Our handling of patient health information is described in the "HIPAA & Your Health Information" notice and is governed by our Business Associate Agreements with healthcare providers and by those providers' Notices of Privacy Practices.
11. Third-party links
The Services may link to third-party websites or resources that we do not control. We are not responsible for, and do not endorse, their content, products, or services. Your use of third-party sites is at your own risk and subject to their terms.
12. Disclaimers
To the fullest extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure. The medical disclaimers in Section 6 apply to all use of the Services.
13. Limitation of liability
To the fullest extent permitted by law, Center Health and its directors, officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, or data, arising out of or relating to your use of the Services, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable law.
14. Indemnification
You agree to defend, indemnify, and hold harmless Center Health and its affiliates and their respective officers, agents, and employees from any claim or demand, including reasonable attorneys' fees, arising out of your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.
15. Electronic communications and signatures
By using the Services or contacting us electronically, you consent to receive communications from us electronically, and you agree that electronic agreements, notices, disclosures, and records satisfy any legal requirement that such communications be in writing. You consent to the use of electronic signatures and records in connection with the Services.
16. Governing law and dispute resolution
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The parties will first attempt to resolve any dispute informally by written notice and good-faith negotiation for at least thirty (30) days. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in San Mateo County, California, and the parties consent to the personal jurisdiction and venue of those courts. Each party waives any objection to that venue. To the extent permitted by law, any claim must be brought within one (1) year after the cause of action arises.
17. Changes to the Services
We may change, suspend, or discontinue any part of the Services at any time. We are not liable for any modification, suspension, or discontinuance of the Services, except as provided in our agreements with healthcare-provider organizations.
18. Miscellaneous
These Terms, together with the documents they reference, are the entire agreement between you and Center Health regarding the Services. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, agency, or employment relationship.
