Provider Portal Terms

1. Acceptance and Scope

These Provider Portal Terms ("Portal Terms") govern access to and use of the Center Health provider portal at app.center.health and related authenticated services, functionality, software, documentation, and support resources (the "Portal") by healthcare-provider organizations ("Provider Organizations") and their authorized users ("Authorized Users"). By clicking “I Agree,” logging in, accessing, or using the Portal, you agree to these Portal Terms on behalf of yourself and, where applicable, your Provider Organization, and represent that you are authorized to do so. If you do not agree to these Portal Terms, you must not access or use the Portal.

2. Relationship to the Master Services Agreement and Business Associate Agreement

Your Provider Organization's use of the Center Health platform may also be governed by the Master Services Agreement ("MSA") and the Business Associate Agreement ("BAA") between Center Health and your Provider Organization, as applicable. These Portal Terms are supplemental to, and do not replace, the MSA and BAA. In the event of any conflict, the MSA and BAA control. Nothing in these Portal Terms modifies, limits, or expands the parties' rights or obligations under the MSA or BAA, including those relating to protected health information ("PHI"), privacy, security, support, warranties, indemnification, or limitations of liability.

3. Authorized Users and acceptable use

Access to the Portal is limited to Authorized Users designated by the Provider Organization. The Provider Organization is responsible for authorizing users, assigning appropriate access levels, maintaining accurate account information, and promptly disabling or deactivating accounts when access is no longer appropriate.

The Provider Organization is responsible for activity conducted through accounts associated with it, except to the extent caused by Center Health's breach of the MSA. Each Authorized User must:

  • access the Portal only with their own uniquely identifiable credentials, and not share accounts, passwords, authentication factors, or access methods;
  • use multi-factor authentication and any other security measures required by Center Health;
  • access and use PHI only as needed for their role and consistent with the minimum-necessary standard, the BAA, applicable law, and the Provider Organization's policies;
  • not attempt to access data, accounts, features, systems, or system areas beyond their authorization, and not disable, bypass, circumvent, or interfere with security, logging, monitoring, rate limits, or access controls;
  • not copy, modify, reverse engineer, decompile, disassemble, scrape, frame, resell, sublicense, distribute, or otherwise exploit the Portal except as expressly permitted by the MSA and applicable law;
  • not introduce malware, harmful code, bots, automation, scraping tools, or other technology that may disrupt, damage, or impair the Portal;
  • not use the Portal to develop, train, benchmark, improve, or validate artificial-intelligence, machine-learning, analytics, or similar systems except as expressly authorized in writing by Center Health and permitted by the MSA;
  • comply with applicable law, including HIPAA, and with the Provider Organization's own policies; and
  • promptly report any suspected security incident, unauthorized access, misuse, or loss or compromise of credentials to the Provider Organization and to Center Health.

4. Confidentiality

The Portal and its non-public features, software, workflows, configurations, documentation, reports, and related information are confidential to Center Health. Authorized Users will not disclose them except as permitted by the MSA. PHI and other confidential information accessed through the Portal are governed by the BAA, applicable law, and the Provider Organization's policies.

5. License

Subject to these Portal Terms and the MSA, Center Health grants the Provider Organization and its Authorized Users a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Portal solely for the Provider Organization's internal use of the monitoring service and other authorized purposes permitted by the MSA and applicable law. The Portal is licensed, not sold. Center Health and its licensors retain all right, title, and interest in and to the Portal and related software, documentation, content, workflows, configurations, and intellectual property, and all rights not expressly granted are reserved.

6. Suspension

Center Health may suspend, restrict, or disable an Authorized User's or Provider Organization's access where reasonably necessary to address a security risk, suspected misuse, compromised credentials, unlawful or unauthorized activity, violation of these Portal Terms or the MSA, legal or regulatory requirement, or other circumstance permitted under the MSA. Where practicable and consistent with security, legal, and operational needs, Center Health will use commercially reasonable efforts to limit the scope and duration of any suspension and restore access after the underlying issue has been resolved.

7. Disclaimers and liability

The Portal is provided in accordance with the MSA. Except as expressly stated in the MSA, and to the fullest extent permitted by law, the Portal and related software, documentation, content, data, reports, services, and support resources are provided "as is" and "as available," without warranties of any kind, and the warranties, disclaimers, exclusions, remedies, limitations of liability, and liability caps set out in the MSA govern its use. These Portal Terms do not expand Center Health's liability beyond what the MSA provides.

The Portal is intended to support Provider Organization workflows and does not replace professional medical judgment; the Provider Organization and its healthcare professionals remain responsible for patient care, clinical interpretation, diagnosis, treatment, follow-up, and medical-record obligations. The Portal is not intended to serve as the Provider Organization's sole or official medical record, billing record, compliance record, or legally required recordkeeping system.

8. Changes and contact

We may update these Portal Terms from time to time and will post the revised version with an updated date; material changes affecting the Provider Organization's rights or obligations will be handled in accordance with the MSA. By accessing or using the Portal or communicating with Center Health electronically, you consent to receive Portal-related communications electronically and agree that electronic agreements, notices, disclosures, acknowledgments, signatures, and records satisfy any requirement that they be in writing.
