Patient App & RPM Service Terms

1. About these Terms
These Patient App & RPM Service Terms ("Terms") govern your use of the Center Health mobile and web application and remote patient monitoring ("RPM") service (together, the "App"). You have access to the App because your healthcare provider has enrolled you in remote patient monitoring. By using the App, you agree to these Terms. If you do not agree, do not use the App.
2. The service and your provider relationship
Center Health Incorporated ("Center Health", "we", "us", or "our") provides technology that supports remote patient monitoring by your healthcare provider. Center Health is not your healthcare provider, does not provide medical care, and using the App does not create a doctor-patient relationship with Center Health. Your clinical care, and decisions based on your monitoring data, remain the responsibility of your healthcare provider.
3. Eligibility
The App is intended for patients who are at least 18 years old, or for younger patients enrolled by their healthcare provider with the consent and involvement of a parent or guardian as required. You agree to provide accurate information and to keep your account secure.
4. Not medical advice; the Aria assistant
Information provided through the App, including any output of the Aria assistant, is for informational purposes to support your monitoring. It is not medical advice, a diagnosis, or a treatment recommendation, and it is not a substitute for the clinical judgment of your healthcare provider. Always seek your provider's advice with any questions about your health, and never disregard or delay seeking professional medical advice because of something provided through the App.
If you are experiencing a medical emergency, call 911 or your local emergency number immediately. The App is not monitored in real time and is not for emergencies.
5. Messaging and text messages
As part of the monitoring service, Center Health may send you service-related messages, including text (SMS/MMS) messages, on behalf of and at the direction of your healthcare provider. These may include your enrollment or sign-in links, monitoring reminders, and other communications related to your care. These are service communications, not marketing.
By providing your mobile number or enrolling through a text or QR-code link, you consent to receive these service messages at that number. Message and data rates may apply, and message frequency varies. You can opt out of text messages at any time by replying STOP, and you can reply HELP for help; opting out of texts may affect the monitoring service, so please tell your healthcare provider if you do. For details on how we handle your information, see your health care provider’s Notice of Privacy Practices.
6. Your health information and privacy
The health information we process about you through the App is handled by Center Health as a Business Associate, on behalf of your healthcare provider, under a Business Associate Agreement, and your provider's Notice of Privacy Practices governs it. You exercise your HIPAA rights through your healthcare provider.
7. Acceptable use of the App
You agree to use the App only for your own monitoring and only as intended. You agree not to: share your account or login credentials; access another person's information without authorization; interfere with or attempt to circumvent the App's security or technical controls; copy, modify, reverse engineer, or create derivative works from the App, except as permitted by law; or use the App for any unlawful purpose. Please report any suspected security problem or unauthorized access to us promptly.
8. License and intellectual property
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the App on devices you own or control, for your personal use of the monitoring service. The App and its content and software are owned by or licensed to Center Health, and all rights not expressly granted are reserved. These Terms entitle you to install and use the App only for lawful purposes consistent with these Terms. Your license to use the App is expressly conditioned upon your agreement to all of these Terms. This App is licensed, not sold.
Restrictions
You agree not to:
- Rent, copy, transfer, resell, sublicense, or otherwise provide access to the App to a third party.
- Modify the App or create a derivative work of the App or any part of it.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying concepts, or algorithms of the App.
- Destroy or circumvent any security measures of the App.
- Remove, obscure, or modify any notices included in the App including warnings, trademark designations, and copyright notices.
- Use the App in violation of any applicable law, regulation, third-party right, or provider instruction.
Feedback
If you provide comments, suggestions, ideas, or other feedback about the App, you grant Center Health a perpetual, irrevocable, worldwide, royalty-free right to use that feedback for any lawful purpose without restriction or obligation to you. Feedback does not include your protected health information or other health information processed through the App.
9. App store terms
If you obtain the App from a third-party app store or distribution platform, including the Apple App Store or Google Play (each, an "Application Store"), your use is also subject to that Application Store's terms. You acknowledge that these Terms are between you and Center Health, not the Application Store, and that Center Health is solely responsible for the App and its content. The Application Store has no obligation to provide maintenance or support for the App and is not responsible for any claims relating to the App, except as required by applicable law. The Application Store and its subsidiaries are third-party beneficiaries of this Section and may enforce this Section against you.
You also represent that you are not located in a country subject to a U.S. government embargo or designated by the U.S. government as a terrorism-supporting country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
10. Warranty Disclaimer
TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, CENTER HEALTH, OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PROVIDERS, MERCHANTS, SPONSORS, LICENSORS, SUPPLIERS, CONSULTANTS, AND SIMILAR PARTIES DISCLAIM AND EXCLUDE ALL WARRANTIES FOR USE OF THE APP, OR AS TO THE ACCURACY, RELIABILITY, OR CURRENCY OF ANY INFORMATION, CONTENT, OR SERVICE PROVIDED THROUGH THE APP. FURTHERMORE, CENTER HEALTH DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE APP OR THE SERVER THAT MAKES THE APP AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; NOR DOES CENTER HEALTH MAKE ANY WARRANTY AGAINST INTERFERENCE WITH YOUR USE OF THE APP, OR AGAINST INFRINGEMENT OR OF TITLE. THE APP IS PROVIDED ON AN “AS IS,” “AS AVAILABLE” BASIS AND CENTER HEALTH SPECIFICALLY DISCLAIMS WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE. NONE OF THE ORAL ADVICE OR WRITTEN INFORMATION GIVEN BY CENTER HEALTH, OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PROVIDERS, MERCHANTS, SPONSORS, LICENSORS, SUPPLIERS, CONTRACTORS, OR SIMILAR PARTIES, SHALL CREATE A WARRANTY. If you are dissatisfied with the App or these Terms, your sole and exclusive remedy is to discontinue using the App.
11. LIMITATION ON LIABILITY
NEITHER CENTER HEALTH NOR ANY OF OUR OFFICERS, DIRECTORS, EMPLOYEES OR OTHER REPRESENTATIVES WILL BE LIABLE FOR DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE APP, MONITORING DATA, INCLUDING RELATED DATA GENERATED BY OR STORED IN THE APP, OR ANY INFORMATION CONTAINED HEREIN, EVEN IF ADVISED OF THE POSSIBILITY THEREOF. Center Health assumes no responsibility, and shall not be liable for any damages to, or viruses that may infect your computer equipment, mobile devices, or other property on account of your access to, use of, or browsing in the App or downloading of any materials, data, text, images, video, or other data files from the App.
YOU FURTHER AGREE THAT CENTER HEALTH’S TOTAL LIABILITY FROM OR RELATED TO YOUR USE OF AND ACCESS TO THE APP OR MONITORING DATA GENERATED BY THE APP, WHETHER THE FORM OF ACTION OR CLAIM IS IN CONTRACT, WARRANTY, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, IS LIMITED TO FIFTY U.S. DOLLARS ($50 US). EXCEPT AS EXPRESSLY PROVIDED HEREUNDER, UNDER NO CIRCUMSTANCES SHALL CENTER HEALTH OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DISTRIBUTING THE APP BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, GOOD WILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF CENTER HEALTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) THAT RESULT FROM (I) THE USE OF OR INABILITY TO USE THE APP, (II) THE USE OF OR INABILITY TO USE MONITORING DATA GENERATED BY OR STORED IN THE APP; (III) DECISIONS MADE OR ACTIONS TAKEN (OR NOT TAKEN) BASED ON USE OF THE APP OR MONITORING DATA; (IV) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (V) STATEMENTS OR CONDUCT OF ANY THIRD PARTY REGARDING THE APP OR MONITORING DATA GENERATED BY OR STORED IN THE APP; OR (VI) ANY OTHER MATTER RELATING TO THE APP. YOU HEREBY ACKNOWLEDGE THAT THIS PARAGRAPH SHALL APPLY TO ALL CONTENT AND SERVICES AVAILABLE THROUGH THE APP. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH JURISDICTIONS LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
12. Indemnity
You agree to indemnify and hold Center Health and our affiliates, officers, directors, agents, and employees harmless from and against any claim, demand, liability, loss, damage, settlement, cost, or expense, including reasonable attorneys’ fees, made by any third party due to or arising out of: information or content you submit, upload, or transmit through the App; your misuse of the App; your violation of these Terms; your violation of applicable law in connection with your use of the App; or your infringement, misappropriation, or violation of another person’s rights in connection with your use of the App. This indemnity does not apply to claims caused by Center Health’s own obligations as a Business Associate or by Center Health’s handling of protected health information on behalf of your healthcare provider.
To the extent Center Health is required to provide indemnification by applicable law, Center Health, not the Application Store, shall be solely responsible for the investigation, defense, settlement and discharge of any claim that the App or your use of it infringes any third-party intellectual property rights.
13. Modifications and Updates to the App
We reserve all rights to modify, suspend, terminate, discontinue, or otherwise withhold access to the App, temporarily or permanently, including any service to which the App is connected, without notice and without liability to you.
We may from time to time enhance or improve the features or functions of the App, including patches, bug fixes, upgrades, updates or other modifications. These may modify or delete features and/or functionalities of the App. You agree that we have no obligation to provide any updates or continue to provide or enable any particular features or functionalities of the App to you except as agreed upon in a writing signed by Center Health. You agree that all updates or modifications of any kind will be deemed to constitute an integral part of the App and are subject to these Terms.
14. Maintenance; Support
We will provide reasonable maintenance and support in connection with the download and/or use of the App. To the extent that any maintenance or support is provided or required by applicable law, Center Health, not the Application Store, shall furnish any such maintenance or support.
15. Third Party Services
The App may display, include, use, or make available third-party content, software, services, application programming interfaces, software development kits, open-source components, or links to third-party websites or services (collectively, "Third-Party Services"). You acknowledge and agree that Center Health shall not be responsible for any Third-Party Services, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality, security, availability, or any other aspect thereof. Center Health does not assume and shall not have any liability or responsibility to you or any other person or entity for any Third-Party Services. You must comply with any applicable third-party, open-source, or Application Store terms when using the App. Third-Party Services and links thereto are provided solely as a convenience to you, and you access and use them at your own risk and subject to any applicable third-party terms and conditions.
16. Devices, Connectivity, and Charges
You are responsible for obtaining and maintaining compatible devices, internet access, wireless service, and any equipment or services needed to access and use the App. Your wireless carrier, internet provider, or other service providers may charge fees for data, messaging, or other services. Center Health is not responsible for those charges, the availability or performance of your device, network, internet connection, carrier, or third-party services, or any failure of the App caused by them.
17. Revisions to these Terms
We may at any time revise these Terms by updating this posting. The next time you access the App after the Terms have been updated, the updated Terms will be presented to you. You must review and accept the updated Terms to continue to access the App.
18. Product Claims
Center Health does not make any warranties concerning the App except as expressly stated in these Terms. To the extent you have any claim arising from or relating to your use of the App, Center Health, not the Application Store, is responsible for addressing any such claims, which may include, but are not limited to: (i) any product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) any claim arising under consumer protection, or similar legislation.
19. Export and Sanctions Compliance
You agree to comply with all applicable export control, economic sanctions, and trade laws and regulations, including those of the United States. You may not use, export, re-export, import, sell, release, or transfer the App, App-related technology, or information derived from the App except as authorized by applicable law. You represent that you are not located in, ordinarily resident in, or organized under the laws of any country or region subject to comprehensive U.S. sanctions and that you are not identified on any restricted-party or denied-party list maintained by the U.S. government.
20. Governing Law and Venue
These Terms are governed by and construed in accordance with the law of New York, United States of America, without reference to its conflicts of law rules. The federal and state courts located in New York shall have exclusive jurisdiction in any suit or proceeding arising out of or relating to these Terms or their subject matter. The parties agree that such litigation shall be conducted only in a court of competent jurisdiction located in New York City, New York, or the federal courts located in New York and no other courts, where these Terms are made and/or to be performed.
21. Termination
A. Termination of Terms
These Terms are effective until terminated by you or Center Health. If you no longer agree to be bound by these Terms, you must cease your use of the App.
The following provisions shall survive the expiration or termination of these Terms: Sections 4 (Not medical advice; the Aria assistant), 6 (Your health information and privacy), 8 (License and intellectual property), 10 (Warranty Disclaimer), 11 (Limitation on Liability), 12 (Indemnity), 15 (Third Party Services), 18 (Product Claims), 19 (Export and Sanctions Compliance), 20 (Governing Law and Venue), 21 (Termination), 22 (Electronic communications and consent), and 23 (General Terms).
B. Termination of Account
If you are found violating these Terms, Center Health may terminate your access to the App effective immediately upon notice of the violation. Subject to applicable law, we reserve the right to suspend or deny, in our sole discretion, your access to all or any portion of the App with or without notice. You agree that any termination of your access to the App may occur without prior notice and acknowledge and agree that we may immediately deactivate or delete your account and all related information and files in your account, and/or bar any further access to such files or the App. Further, you agree that Center Health shall not be liable to you or any third party for any termination of your access to the App.
You may request termination of your account at any time with written notice to Center Health. Written notice may be sent to support@center.health. Account termination, either by Center Health or at your direction, may result in deactivation of your account and may affect your ability to access information through the App. Information associated with your account, including monitoring data, may be retained, returned, deleted, deidentified, or made unavailable in accordance with applicable law, provider instructions, Business Associate Agreement obligations, and Center Health’s retention policies. You agree that Center Health is not responsible for restoring your account or its contents after your account has been terminated, except as required by applicable law. We will try to provide advance notice before terminating your account when practical, but such notice is in our sole discretion subject to applicable law.
22. Electronic communications and consent
By using the App, you consent to receive communications and records from us electronically, and you agree that electronic notices, disclosures, and records satisfy any legal requirement that they be in writing.
23. General Terms
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law. These Terms, together with your health care provider's Notice of Privacy Practices and any applicable provider or Application Store terms, are the entire agreement between you and Center Health regarding your use of the App. Section headings are for convenience only and do not affect the interpretation of these Terms. We will not be liable for any delay or failure to perform resulting from causes beyond our reasonable control.
